Terms of Service
The agreement under which Customers access the Shipider warehouse management platform, APIs, and operational tools.
1. Acceptance of these Terms
These Terms of Service (the “Terms”) form a binding agreement between Shipider (“Shipider,” “we,” “us”) and the legal entity that signs an Order Form or otherwise registers an account with us (“Customer,” “you”). By signing an Order Form, clicking “I agree,” or accessing the Services, you represent that you have authority to bind Customer and that Customer accepts these Terms.
If you do not have such authority, or if you do not agree with these Terms, do not access or use the Services. These Terms govern your use of the platform together with any Order Form, Data Processing Addendum (“DPA”), or other agreement we sign with you.
2. The Services
The “Services” consist of the Shipider warehouse management platform, including the customer-facing dashboard, operator dashboard, mobile scanning tools, APIs, webhooks, and documentation.
2.1 Scope
The Services are delivered as software-as-a-service from our infrastructure. We may update functionality, user interfaces, and dependent technologies from time to time, provided we do not materially decrease overall functionality during your subscription term.
2.2 Beta features
Features labeled “beta,” “preview,” or “experimental” are provided as-is and may be modified or removed at any time.
3. Accounts & Access
You must provide accurate registration information and keep it up to date. You are responsible for all activity that occurs under your account and for keeping credentials confidential. Notify us immediately of any unauthorized use.
4. Customer Obligations
You agree not to: (a) violate applicable laws; (b) attempt to gain unauthorized access to the Services or to other customers' data; (c) interfere with the proper functioning of the Services; (d) upload malicious code or content; or (e) resell access to the Services without our written permission.
5. Fees & Billing
Paid subscriptions are billed in advance on a monthly or annual basis. Token allocations and overage rates are described on our pricing page and any applicable Order Form. Prices are subject to change with 30 days notice. You may upgrade, downgrade, or cancel at any time through your billing settings; refunds are handled on a case-by-case basis.
6. Data & Privacy
You retain ownership of all data you upload or generate within the Services (“Customer Data”). We process Customer Data on your behalf under the terms of our Data Processing Addendum and Privacy Policy. Upon account termination, you may request an export of your Customer Data within 30 days.
7. Intellectual Property
Shipider retains all rights, title, and interest in and to the Services, including all software, documentation, and trademarks. You receive a limited, non-exclusive, non-transferable right to access and use the Services during your subscription term, solely for your internal business operations.
8. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information of similar importance, and in any event no less than reasonable care.
9. Warranties & Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible. EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
10. Limitation of Liability
To the maximum extent permitted by law, Shipider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our aggregate liability shall not exceed the fees you paid us in the twelve months preceding the claim.
11. Term & Termination
Either party may terminate the agreement at any time. Upon termination, your access to the Services will cease at the end of the current billing period. We may suspend or terminate accounts that violate these Terms.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Services constitutes acceptance of updated Terms.
